These Terms and Conditions (“Terms”) govern your access to and use of our software-as-a-service (“SaaS”) platform, digital agency services, website, applications, content, and all related offerings provided by Gigzofy Incorporation (collectively referred to as the “Services”).

2. Eligibility

If you are using the Services on behalf of a business or legal entity, you represent that you have authority to bind that entity.

3. User Accounts

Gigzofy reserves the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

We grant you a non-exclusive, non-transferable, limited license to use our software during the subscription period.

4.2 Usage Restrictions

4.3 Data Ownership

All data you upload remains your property. However, you grant Gigzofy a license to use your data for providing the Services, including backups, analytics, and technical support.

5. Digital Agency Services

Gigzofy provides digital agency services through customized projects and campaigns. These may include:

  • Marketing campaigns (digital ads, email, SEO).
  • Branding and identity design.
  • Website and app development.
  • Content production.
5.1 Service Engagement

Each digital project will be governed by a specific scope of work (SOW), quotation, or service agreement. These documents will outline deliverables, timelines, and fees.

5.2 Client Responsibilities

Clients agree to:

  • Provide timely feedback and approvals.
  • Supply necessary content and brand assets.
  • Ensure that submitted content does not infringe third-party rights.
6. Payment Terms
6.1 SaaS Subscriptions
  • Payment is due in advance (monthly or annually).
  • All fees are non-refundable unless stated otherwise.
6.2 Agency Services
  • Projects may require a 50% upfront deposit.
  • Remaining payment is due upon milestone or project completion.
  • Late payments may incur a fee of 2% per month.
6.3 Payment Methods

We accept payment via credit card, debit card, bank transfer, and authorized gateways.

7. Service Availability & Support
  • We aim for 99.9% uptime for our SaaS platform.
  • Planned maintenance will be notified in advance.
  • Support is available via email, live chat, or ticketing system during business hours.

Gigzofy is not responsible for downtime caused by third-party providers, cyberattacks, or acts beyond its control.

8. Intellectual Property

All materials, trademarks, software code, documentation, and visual assets provided by Gigzofy are owned by or licensed to Gigzofy Inc.

You may not use, reproduce, or distribute any Gigzofy intellectual property without written permission.

9. Confidentiality

Both parties agree to maintain the confidentiality of:

  • Business strategies
  • Proprietary software or data
  • Project-related details

This obligation survives the termination of any agreement between you and Gigzofy.

10. Privacy Policy

Use of our Services is subject to our Privacy Policy, which explains how we collect, use, and protect your data.

11. Third-Party Tools & Integrations

Our platform may integrate with third-party services (e.g., Google, Zapier, Meta, analytics providers). You agree to:

  • Comply with the third-party’s terms of service.
  • Hold Gigzofy harmless from any liability caused by third-party tools.
12. Term and Termination
  • You may cancel your SaaS subscription at any time through your dashboard.
  • Gigzofy may suspend or terminate access for violating these Terms or for non-payment.

Upon termination, your access to the platform will be revoked, and we may delete your data after 30 days, unless legally required to retain it.

13. Warranties and Disclaimers

Our Services are provided “as-is” and “as available.”
We do not warrant that:

  • Services will meet all your specific requirements.
  • Services will be uninterrupted or error-free.
  • Any bugs will be corrected immediately.

Gigzofy disclaims all warranties, including fitness for a particular purpose and non-infringement.

14. Limitation of Liability

To the maximum extent allowed by law, Gigzofy Inc shall not be liable for:

  • Indirect or consequential damages.
  • Loss of revenue or profits.
  • Data loss or corruption.

Our maximum liability to you for any claim shall not exceed the total amount paid by you in the last 6 months.

15. Indemnification

You agree to indemnify, defend, and hold harmless Gigzofy Inc and its officers, employees, and partners from any claims, liabilities, or damages resulting from:

  • Your misuse of our Services.
  • Violation of third-party rights.
  • Breach of these Terms.
16. Governing Law & Jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles.

Any disputes shall be resolved through arbitration or courts located in India.

17. Modifications

Gigzofy reserves the right to modify these Terms at any time. Updates will be posted on our website, and continued use constitutes acceptance of those changes.
